2.1 Review of the company

Based on the Black Peak 150MW wind power project in Serbia, Crni Vrh Power Doo Zagubica formally signed the SPA on 30 November 2023 with the seller.

2.2 Scope of quotation

CRNI VRH POWER DOO holds this open quotation for the Legal Consulting Service for the year 2025 for Crni Vrh Project .

2.3 Request for the quotation

2.3.1 Legal Compliance Consultation

Provide interpretation and compliance advice on relevant laws and regulations in China to ensure the company's operations within China comply with Chinese legal requirements.

Conduct legal risk assessments and compliance reviews for the company's business activities in China.

2.3.2 Contract Review and Drafting

Review, draft, and amend various contracts and agreements with suppliers, clients, partners, and other entities in China to ensure their legality and enforceability.

Provide legal support during contract performance and assist in resolving contract disputes.

2.3.3 Corporate Governance and Equity Structure Consultation

Provide legal advice on corporate governance structures in China to ensure compliance with Chinese Company Law.

Assist in handling legal matters related to equity, investments, dividends, and other issues between the company and its parent company.

2.3.4 Intellectual Property Protection

Provide advice on the registration, protection, and enforcement of intellectual property rights (trademarks, patents, copyrights, etc.) in China.

Assist in resolving intellectual property infringement disputes.

2.3.5 Cross-Border Legal Affairs Support

Provide legal consultation on cross-border investment, trade, taxation, and other related matters between China and Serbia.

Assist in coordinating legal matters between the parent company in China and the subsidiary in Serbia.

2.3.6 Dispute Resolution and Litigation Consultation

The service does not include special matters such as litigation, responding to lawsuits, etc. If such matters occur, a case-by-case basis and a separate agreement will be signed.2.3.4. Set a designated contact person to interface with counseling services;

3 Quota: During the period of validity of the quota, the price of unity of services should not exceed this quota.
